Company Profile The Group's history dates back to 1988 as a humble sole proprietorship under the name of Seah Metal Trading. Led by Mr Seah Hock Thiam, founder and an enterprising visionary, the Group has grown from a modest outfit to become a significant player in the metal recycling industry. To meet the increasing market demand and business volume, Tsing Yi Enterprises Pte Ltd and Tsingtech Recycling Pte Ltd were subsequently formed to streamline business operations and to meet the challenges of expanding into both the regional and European markets. In December 2000, Green World Holdings Limited was successfully listed
on the Singapore Stock Exchange.
2002 : The Group has incorporated a new subsidiary, Green World (Middle East) Pte Ltd. The new subsidiary will be engaged principally in the sourcing and trading of ferrous and non-ferrous metal products and the development of environmental-related business in the Middle East countries. 2003 : The Group completed the private placement of 5,400,000 new shares with a par value of $0.20 each at an issue price of $0.25 each to a Chinese national, Mr Tang YiMing. The placement price of $0.25 each was at a premium of 19%. The ability to complete the $1.35 million private placement successfully reflected the confidence of the new investor in the business of the Group. We were successful in obtaining ISO 14000 certification for our wholly owned subsidiary company Tsing Yi Enterprises Pte Ltd. This award is in addition to the earlier ISO 9002 Award in 1999. This certification demonstrates our firm commitment to conduct business in an environmentally responsible way. With the latest certification, Tsing Yi Enterprises Pte Ltd is geared for growth through new business opportunities. The Green World Share Option Scheme was approved by the shareholders at an Extraordinary General Meeting held on 28 February 2003 . Between July 2003 to August 2003, the Group granted a total of 1.365m share options (2.07% of total equity) to eligible employees, management and directors. In September 2003, the Group has acquired the entire shareholdings of Temasek Dynamic Sdn. Bhd. ("Temasek Dynamic"), a Malaysia company, comprising 500,000 ordinary shares of RM1/- each for cash at par, making it a wholly-owned subsidiary of the Company. In December 2003, the Group again completed another private placement of 6,000,000 new shares with a par value of $0.20 cents each at an issue price of $0.29 cents each to SESDAQ-listed Novena Holdings (3,000,000 shares) and five individuals (3,000,000 shares). The placement price of $0.29 cents was at a discount of 3.27% of the weighted average price for trades on 2 Decemeber 2003. The new shares rank pari-passu in all respects with the ordinary shares existing at the time of the issue. The ability to complete another round of private placement of $1.74 million reflected the confidence of the new investors in the industry in general and the business of the Group in particular. 2004: In September 2004, the Group rewarded its shareholders with a bonus issue of one (1) new share with a par value of $0.20 cents each for every five (5) existing shares held. The new shares rank pari-passu in all respects with the ordinary shares existing at the time of the issue. S$2.69 million was capitalized from the revenue reserve for the bonus issue.
